Terms of Use for Global Service Individual Users
These Terms of Use, collectively with any and all documents these Terms of Use expressly incorporate by reference (these "Terms"), govern your relationship with and access and use of our products and services branded collectively as the "Qonesafe" (as more particularly defined below, the "Service") operated by Hecto Innovation Co., Inc. ("Hectoinnovation", "us", "we", or "our"). It is important that you read these Terms carefully before you access or use the Service because, upon any such access or use, you will be legally bound to these Terms. Your access to and use of the Service subject to your acceptance of and compliance with these Terms. THESE TERMS INCLUDE AN AGREEMENT TO MANDATORY ARBITRATION AND A CLASS-ACTION WAIVER, WHICH MEANS THAT, AS PERMITTED BY APPLICABLE LAW, YOU AGREE, WITH LIMITED EXCEPTIONS, TO SUBMIT ANY DISPUTE RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES TO BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEEDING IN COURT, AND THAT YOU AGREE TO PROCEED WITH ANY DISPUTE INDIVIDUALLY AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION. FOR MORE INFORMATION, SEE THE DISPUTE RESOLUTION SECTION BELOW. BY ACCESSING OR USING THE SERVICE, YOU: (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS; (B) REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU OTHERWISE HAVE THE RIGHT, CAPACITY AND AUTHORITY TO ENTER INTO THESE TERMS; AND (C) AGREE TO BE BOUND AND ABIDE BY THESE TERMS (INCLUDING OUR PRIVACY POLICY FOUND AT HECTO INNOVATION PRIVACY POLICY) AND YOU ACCEPT ALL LEGAL CONSEQUENCES OF SUCH AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, IN WHOLE OR IN PART, DO NOT ACCESS OR USE THE SERVICE.
          
Description of Service
The "Service" means (a) Hectoinnovation's scam URL detector, shopping site managing, Scam detecting Safari browser extention, and other related app-based services, systems, and technologies, as well as the website operated by us at https://qonesafe.com through which such services, systems, and technologies are made available (the "Site"), and (b) all software, applications, data, text, documentation, images, and other content, materials, and information made available to you by or on behalf of Hecto innovation on or through any of the foregoing. All modifications to the Service by us, upon our provision thereof to you, are also subject to and will be deemed part of the "Service" for purposes of these Terms. Hectoinnovation reserves the right to modify or discontinue the Service or any feature or functionality thereof at any time without notice. All right, title and interest in and to the Service and all intellectual property and proprietary rights therein or related thereto are exclusively owned by (and will remain with and belong exclusively to) Hectoinnovation.
          
Accounts
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security of or relating to the Service or unauthorized use of your account. You may not use as a username for your account (a) the name of any person or entity other than you or any name that is not lawfully available for use, (b) any name or trademark that is subject to any right of another person or entity other than you without the consent of and appropriate authorization from such person or entity, or (c) any name that is offensive, vulgar or obscene.
          
Intellectual Property Rights
The Service and all of its contents, features, and functionality (including all computer programs, applications, and software in any form (including both object code and source code format), information, text, displays, images, video, audio, and graphics and the design, selection, and arrangement thereof) are the exclusive property of Hectoinnovation and are protected by copyright, trademark, trade secret, and other intellectual property and proprietary rights laws. No right, title, or interest in or to the Service is transferred or assigned to you, and all rights not expressly granted herein are reserved by us.
          
Your Use of the Service
These Terms permit you to access and use the Service solely for your personal, non-commercial purposes (the "Permitted Purpose"). You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit the Service or any of the material on or accessible through the Service, except as follows:

          ● Your devices may temporarily store copies of such materials in memory incidental to your accessing and viewing those materials.
          ● You may store files that are automatically cached by your browser for display enhancement purposes.
          ● You may download or print one copy of a reasonable portion of the material from the Service only for the Permitted Purpose and not for further reproduction, publication, or distribution.
          ● If we provide any desktop, mobile, or other application for you to download in connection with the Service, you may download a single copy of such application to your computer or mobile device (as applicable) solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such application, which is incorporated herein by this reference.

          In addition, you may not:

          ● use any illustration, photograph, video or audio sequence, or graphic separately from the accompanying text from the Service;
          ● access or use for any purpose other than the Permitted Purpose any part of the Service or any material available on or through the Service;

          ● use the Service to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or other similar solicitation;
          ● use the Service to impersonate or attempt to impersonate Hectoinnovation, any of our employees, another user, or any other person or entity (including by using any email address or username associated with any of the foregoing);
          ● use the Service to engage in any other conduct that restricts or inhibits anyone's access to or use or enjoyment of the Service or which, as determined by us in or sole discretion, may harm us, any of our affiliates, or any user of the Service or expose any of the foregoing. to liability;
          ● use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other person's use of the Service, including such person's ability to engage in any activity through the Service;
          ● use any robot, script, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material available on or through the Service;
          ● use any manual process to monitor or copy any of the material on the Service for any purpose not expressly authorized in these Terms of Use, without our prior written consent;
          ● use any device, software, or routine that interferes or is designed to interfere with the proper working of the Service;
          ● introduce to the Service any virus, trojan horse, worm, logic bomb, or other code or material that is malicious or technologically harmful;
          ● attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Service, the server on which any portion of the Service is stored, or any server, computer, or database connected to or used with the Service;
          ● attack the Service via a denial-of-service attack or a distributed denial-of-service attack; or
          ● otherwise attempt to interfere with the proper working of the Service.

          Without limiting any of the foregoing, any use of the Service not expressly permitted by these Terms is strictly prohibited, is a breach of these Terms, and may violate copyright, trademark and other laws. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Service in breach of these Terms, your right to access and use the Service will cease immediately and you must, at our option, return or destroy any and all copies of any Service materials you have made.
          
Trademarks
These Terms do not grant you a license to use any trademark of Hectoinnovation or its affiliates. You further agree not to use, change or delete any proprietary rights notices from the Service or any material downloadable or otherwise accessible from the Service.
          
User-Generated Content
"Your Data" means any and all information, data, content, and other materials which you upload, store, retrieve, or otherwise make available or provide to us through or using the Service. As between you and us, you retain ownership of Your Data. You hereby grant Hectoinnovation a perpetual, non-exclusive. irrevocable, worldwide, royalty-free, fully transferable, fully sublicensable license to store, retrieve, backup, restore, and otherwise copy Your Data for any purpose, including for purposes of providing you with the Service. You represent and warrant that you: (a) have all rights necessary to provide all of Your Data to us, in the manner in which you provide such information, and to make all grants made by you hereunder, free and clear of any conflicting agreement, adverse claim, or interest of any third party; and (b) will not contribute to the Service or otherwise provide Your Data that (i) violates any law, statute, ordinance, or regulation or is otherwise illegal, (ii) is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable, or (iii) impersonates any person, including any employee or representative of Hectoinnovation.
          
Links To Other Websites
The Service may contain links to third-party websites or services that are not owned or controlled by Hectoinnovation. Hectoinnovation has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any such third-party website or service. You further acknowledge and agree that Hectoinnovation shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or that otherwise arises in connection with your access to, use of, or reliance on any content, good, or service available on or through any such website or service. We strongly advise you to read the terms and conditions and privacy policies of any and all such third-party websites and services that you visit or otherwise access, use, or receive. If you decide to access, use, or receive any such website or service, you do so entirely at your own risk and subject to the terms and conditions of use for such websites and services.
          
Operational Emails
The Service may send you operational emails, including billing emails, account activity emails, and Service updates. These are required to provide the Service.
          
Termination
You are entitled to cease using our Service at any time and for any reason without notice to us. We may terminate your account, including for your violation of these Terms. In the following circumstances we will provide notice to you prior to termination of your account: (a) you have breached these Terms; or (b) you are using the Service in a way that (as determined by us in our sole discretion) can cause, could be capable of causing, or has caused any harm or loss or any risk of harm or loss to Hectoinnovation, any of our other customers, or any other person. We will inform you of any such termination via email to all or any of the registered account holders, which includes your "Family Organizers" and "Team Owners" as they are listed in your account at the time of such termination. In the event of such a termination, we will provide you with a reasonable opportunity to take Your Data with you. There are some circumstances in which we may be unable to inform you prior to terminating your access to and use of our Services, including in the event: (i) you are in material breach of these Terms in such a way as to immediately and seriously endanger us and other users; (ii) we are unable to inform you prior to such termination because doing so may cause us legal liability or cause a disruption to our Service; or (iii) we are unable to inform you of such termination due to law. If we terminate your account for any of the reasons outlined in (i) through (iii) of this paragraph, then we will work with you to ensure you have a reasonable opportunity to retain copies of Your Data, to the extent permitted by applicable law. All provisions of these Terms that by their nature are intended to survive the termination of your account shall survive such termination, including all provisions relating to intellectual property ownership, warranty disclaimers, indemnity and defense obligations, and limitations of liability. Upon any such termination, (i) your right to access and use the Service will immediately cease, (ii) you must, at our option, return or destroy any and all copies of any Service materials you have made.
          
Limitation Of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HECTOINNOVATION, ANY OF ITS AFFILIATES, OR ANY OF THE RESPECTIVE DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR REPRESENTATIVES OF ANY OF THE FOREGOING (COLLECTIVELY, THE "HECTOINNOVATION PARTIES") BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF PROFIT, LOSS OF REVENUE, LOSS OR DAMAGE TO ELECTRONIC MEDIA OR DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY OR ANTICIPATED SAVINGS, PERSONAL INJURY, PAIN AND SUFFERING, OR EMOTIONAL DISTRESS; OR (B) ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE FEES ACTUALLY PAID BY YOU TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE APPLICABLE CLAIM. WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL ANY OF THE HECTOINNOVATION PARTIES BE LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND WHATSOEVER ARISING OUT OF, RESULTING FROM, OR RELATING TO: (I) YOUR ACCESS TO OR USE OF THE SERVICE; (II) YOUR INABILITY TO ACCESS OR USE THE SERVICE; (III) ANY CONDUCT OR CONTENT OF ANY THIRD-PARTY ON OR RELATED TO THE SERVICE; (IV) ANY CONTENT OBTAINED FROM OR ACCESSIBLE ON OR THROUGH THE SERVICE; OR (V) THE UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF THE SERVICE OR ANY OF YOUR DATA. THE FOREGOING LIMITATIONS AND EXCLUSIONS IN THIS PARAGRAPH APPLY WHETHER ANY SUCH DAMAGE, LOSS, OR CLAIM ARISES OUT OF OR IS BASED ON BREACH OF WARRANTY, BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER CLAIM IN OR THEORY OF LAW, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, LOSS, OR CLAIM, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND. HECTOINNOVATION (ON ITS OWN BEHALF AND ON BEHALF OF EACH OTHER HECTOINNOVATION PARTY) EXPRESSLY DISCLAIMS (AND YOU HEREBY WAIVE) ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED OR STATUTORY, WITH RESPECT TO THE SERVICE, INCLUDING ALL (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND (B) REPRESENTATIONS AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, USAGE, TRADE PRACTICE, OR COURSE OF PERFORMANCE, IN EACH CASE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WITHOUT LIMITING THE FOREGOING, NONE OF THE HECTOINNOVATION PARTIES WARRANTS THAT: (I) THE SERVICE WILL FUNCTION UNINTERRUPTED, BE ACCURATE, RELIABLE OR SECURE, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (III) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (VI) THE SERVICE OR THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.
          
Exclusions
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. Accordingly, all or a portion of the limitations above may not apply to you.
          
Indemnification
You agree to defend, indemnify, and hold harmless each of the Hectoinnovation Parties from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your access to or use of the Service or any portion thereof; (c) any unauthorized access to or use of your Service account; or (d) Your Data.
          
Governing Law
These Terms shall be governed by, and interpreted and enforced in accordance with, the laws of the State of New York, U.S.A.
          
Severability; Waiver
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then any remaining provisions of these Terms will remain in full force and effect. Our waiver of your breach of any provision of these Terms shall not constitute a waiver of any other provision or any subsequent breach.
          
Consent to Notice by Electronic Communication
We may issue notices via the Service or emails to an address you provide us (including through your communications with us). You acknowledge and agree that such notices shall have binding, legal effect. You also agree that any notices sent to you by email satisfy any requirement that notices to you be provided in writing. You may have the right to withdraw your consent to receive certain emails and notices via the Service, and, when required by law, we will provide you with paper copies of such notices upon request. You agree that you may submit a request to withdraw your consent under this Section by contacting us using the contact information provided in these Terms. To receive, access, and retain the notices we send via email, you must have Internet access and a computer or device with a compatible web browser. You also may need software capable of viewing files in PDF format. Your device or computer must have the ability to print, or download and store, emails, and PDF files. By accepting these Terms, you confirm that you are able to receive, access, and retain the notices we may send. You may update your contact information through the Services.
          
Entire Agreement; Construction
These Terms constitute the entire agreement between you and us regarding the subject matter hereof and supersede and replace any and all prior and contemporaneous agreements, whether oral or written, regarding such subject matter. For purposes of these Terms, the word "including" and words of similar import means "including, without limitation".
          
Assignment
We may assign our rights and obligations under these Terms, without notice to you, to (i) any of our affiliates or (ii) any party or its affiliate acquiring all or substantially all of the assets or stock, whether by merger or otherwise, of Hectoinnovation or any of our affiliates. This agreement may not be assigned by you without our prior written consent.
          
Force Majeure
We will not be responsible for any delay or failure in performance of any part of these Terms to the extent that such delay or failure is caused by war, embargo, government requirement, civil or military authority, act of God, or any other cause beyond our control.
          
Dispute Resolution
ALL DISPUTES AND CLAIMS WHATSOEVER WHICH ARISE BETWEEN HECTOINNOVATION AND YOU IN CONNECTION WITH THESE TERMS, INCLUDING ANY SUCH DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO (I) THE CONSTRUCTION OR APPLICATION HEREOF OR ANY PROVISION CONTAINED HEREIN, (II) ANY ACT, DEED, OR OMISSION OF EITHER PARTY IN CONNECTION HEREWITH, OR (III) ANY OTHER MATTER IN ANY WAY RELATING TO THESE TERMS, SHALL BE RESOLVED BY ARBITRATION., EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF CLAIMS QUALIFY. SUCH ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR. YOU AND HECTOINNOVATION AGREE TO EXPRESSLY WAIVE ANY RIGHTS TO FILE CLASS OR REPRESENTATIVE ACTIONS OR SEEK RELIEF ON A CLASS OR REPRESENTATIVE BASIS. YOU AND HECTOINNOVATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN OUR RESPECTIVE INDIVIDUAL CAPACITIES. THE ARBITRATOR SHALL BE APPOINTED BY AGREEMENT BETWEEN THE PARTIES, OR, IN THE ABSENCE OF SUCH AGREEMENT, SUCH ARBITRATOR SHALL BE APPOINTED BY THE KOREAN COMMERCIAL ARBITRATION BOARD ("KCAB") IN THE REPUBLIC OF KOREA. UNLESS OTHERWISE AGREED TO BY THE PARTIES, ARBITRATION SHALL BE HELD IN THE CITY OF SEOUL, REPUBLIC OF KOREA OR REMOTELY VIA VIDEO CONFERENCING. THE PROCEDURE TO BE FOLLOWED SHALL BE AGREED TO BY THE PARTIES OR, IN THE ABSENCE OF SUCH AGREEMENT, DETERMINED BY THE ARBITRATOR. THE ARBITRATOR SHALL HAVE THE POWER TO PROCEED WITH THE ARBITRATION AND TO DELIVER HIS OR HER AWARD NOTWITHSTANDING THE DEFAULT BY ANY PARTY IN RESPECT OF ANY PROCEDURAL ORDER MADE BY THE ARBITRATOR. THE ARBITRATOR SHALL HAVE NO POWER TO ISSUE ANY AWARD THAT IS CONTRARY TO OR INCONSISTENT WITH THESE TERMS (INCLUDING ANY CONSEQUENTIAL OR PUNITIVE DAMAGES) OR ANY APPLICABLE LAW. THE DECISION ARRIVED AT BY THE ARBITRATOR SHALL BE FINAL AND BINDING AND NO APPEAL SHALL LIE THEREFROM. JUDGMENT UPON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. IF ANY PART OF THIS ARBITRATION PROVISION IS FOUND TO BE INVALID, UNENFORCEABLE OR ILLEGAL, THE REST OF THIS PROVISION SHALL REMAIN IN EFFECT. YOU AND HECTOINNOVATION EACH WAIVE ANY RIGHT TO A JURY TRIAL.
          
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will make reasonable efforts to inform you of such revision at least 30 days' notice to the revised Terms taking effect. What constitutes a material change for purposes of the preceding sentence will be determined at our sole discretion. BY CONTINUING TO ACCESS OR USE OUR SERVICE AFTER ANY REVISION TO THESE TERMS IS POSTED ON THE SITE, YOU AGREE TO BE BOUND BY THE REVISED TERMS. IF YOU DO NOT AGREE TO THE NEW TERMS, IN WHOLE OR IN PART, YOUR ONLY REMEDY IS TO STOP ACCESSING AND USING THE SERVICE.
